By installing or using Hailsi, you agree to this Agreement. If you don't agree, don't install or use the software. If you use Hailsi on behalf of an organization, you accept on its behalf. You must be at least 16 years old (or the age of digital consent in your country, if higher) to use Hailsi; minors below that age may not accept this Agreement.
Hailsi is licensed, not sold, and is proprietary software. We grant you a personal, non-exclusive, non-transferable, revocable license to install and use Hailsi on Windows devices you own or control:
You may not: redistribute, resell, rent, sublicense, or host Hailsi for others; reverse engineer, decompile, or disassemble the software except to the limited extent applicable law (or a bundled open-source component's license) permits despite this clause; circumvent or disable license activation, entitlement, or update mechanisms; remove or alter proprietary notices; or use the bundled third-party components in ways inconsistent with their own licenses (listed in the in-app Acknowledgments / Licenses screen).
The Free tier is genuinely free, requires no account, and includes the local, on-device translation core. We may change what is included in Free versus Pro on a forward-looking basis, but we will not remove the Free core's local-translation function from versions you have already installed.
Hailsi Pro and any one-time add-ons are sold by Lemon Squeezy, which acts as our Merchant of Record. Your payment contract for checkout, taxes, and payment-data handling is with Lemon Squeezy, and their terms apply to those parts of the transaction.
One-time purchase. Hailsi Pro is a single, one-time purchase — not a subscription. There is no recurring billing, no auto-renewal, and nothing to cancel. Once you buy it, the Workspace unlock is yours; §6 explains how license keys and offline use work. The standalone theme pack and any future add-ons are likewise one-time purchases.
Refunds. We offer a 14-day refund on the one-time Hailsi Pro purchase and on any one-time add-ons (such as the theme pack), administered through Lemon Squeezy. This is in addition to, and does not limit, any statutory consumer rights you have.
EU/UK consumers — right of withdrawal. Where the law gives you a 14-day right to withdraw from a digital purchase, that right ends only if, at checkout, you expressly consent to Hailsi being supplied immediately and acknowledge that you thereby lose the right of withdrawal; we record that consent and confirm it in your order confirmation. If you did not give that consent, your statutory withdrawal right applies.
License keys activate against Lemon Squeezy's licensing service (three-machine limit). Because Hailsi Pro is a one-time, perpetual purchase, once your license is validated it stays unlocked — including fully offline, indefinitely — and never reverts to the Free tier. We will never lock you out of the Free core. Don't share keys; we may invalidate keys obtained or used fraudulently.
Updates are delivered through an in-app, consent-first updater — no forced or silent installs. Where a Pro feature depends on a current version, we may require you to update to keep using that specific feature.
Hailsi bundles open-source software and machine-learning models under their own licenses, listed in the in-app Licenses screen and the THIRD_PARTY_LICENSES file. Those licenses govern those components, and nothing here limits your rights under them.
Your content is yours. Translations and synthesized speech you generate from your own input belong to you.
Don't use Hailsi to break the law, to infringe others' rights, or to deceive people into believing a synthetic or machine-translated voice is a live, unassisted human in a context where that deception matters legally or causes harm. The virtual-microphone driver is a component of Hailsi; don't extract or repurpose it as a standalone product.
Recording and translating other people. You are responsible for complying with all laws that apply to recording, transcribing, or translating conversations — including laws that require the consent of some or all parties to a conversation. Many U.S. states and many countries require all parties' consent; the strictest applicable law may govern. You are solely responsible for obtaining any required consent before using Hailsi to capture or translate another person, and the app may remind you of this responsibility.
To the maximum extent permitted by law, you will indemnify and hold Hailsi harmless from claims, damages, and costs arising from your unlawful use of the software, including recording, transcribing, or translating others without the consent the law requires, or any other breach of §9.
Hailsi's translation core runs locally on your device. Limited processing still occurs — for example, license-key validation, the consent-first updater check, and any diagnostics you choose to send — as described in our Privacy Policy [link — the product Privacy Policy publishes at launch], which forms part of this Agreement. For users in the EU/UK we act consistent with the GDPR/UK GDPR, and for California residents with the CCPA/CPRA, as detailed there.
Hailsi performs automated speech recognition and machine translation, and its output may be inaccurate or incomplete. Do not rely on it, without independent human verification, in any situation where a mistranslation could cause harm — including medical, legal, financial, emergency, or other safety-critical settings. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Nothing in this section limits warranties or rights that cannot be excluded under applicable consumer law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAILSI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA; AND OUR TOTAL LIABILITY FOR ANY CLAIM IS CAPPED AT THE GREATER OF THE AMOUNTS YOU PAID FOR HAILSI IN THE 12 MONTHS BEFORE THE CLAIM, OR USD $20.
Non-excludable rights. Nothing in this Agreement excludes or limits liability that cannot be excluded or limited under the law that applies to you — including, for consumers in the EU, the UK, and Australia, liability for death or personal injury caused by negligence, for fraud, and under non-excludable statutory consumer guarantees and product-liability law. Where such law applies, the limitations above apply only to the extent permitted by it.
You may stop using Hailsi at any time. We may suspend or terminate your license for material breach of this Agreement (with notice and an opportunity to cure where practicable). On termination, stop using and uninstall the software. Sections 8, 10, 12, 13, and 16–17 survive termination.
We may update this Agreement on a forward-looking basis, posting the revised version with a new effective date and flagging material changes in the app's release notes and, where appropriate, by in-app notice. Continued use after the effective date constitutes acceptance.
This Agreement is governed by the laws of [governing jurisdiction — to be set with counsel], without regard to conflict-of-laws rules, and the courts of [venue — to be set with counsel] have jurisdiction, except where applicable consumer-protection law entitles you to the protection of your local courts and law. [Counsel to decide and draft: binding arbitration + class-action waiver (with a small-claims and IP carve-out and an opt-out window), or court-only dispute resolution.]
Entire agreement. This Agreement, together with the Privacy Policy and the third-party-component licenses, is the entire agreement between you and Hailsi about the software and supersedes prior understandings. Lemon Squeezy's terms separately govern your payment transaction. If there's a conflict, this Agreement governs the software license; the Privacy Policy governs data practices; the component licenses govern those components.
Severability. If any provision is held unenforceable, the rest remains in effect and the unenforceable provision is limited or removed to the minimum extent necessary.
Assignment. You may not assign this Agreement. We may assign it, including to a successor entity or in connection with a reorganization or sale of the business (for example, on formation of the Hailsi operating entity).
Force majeure. We are not liable for failures or delays caused by events beyond our reasonable control, including outages of third-party services on which license validation or updates depend.
Export and sanctions. You represent that you are not located in, and will not use Hailsi in, any country or by any party subject to applicable U.S. or other export-control or sanctions restrictions, and that you will comply with all applicable export-control and sanctions laws.
Notices. We may give you notice in-app or by any email address associated with your purchase; you may reach us at support@hailsi.com.
No waiver. Our failure to enforce a provision is not a waiver of it.
